Terms & Conditions of Sale

These Terms & Conditions of Sale (“Terms”) apply to all sales transactions between Kinetic Valve (“Company”) and its customers. By placing an order with the Company, you agree to the following terms:

  1. Scope of Sales
  • All sales are primarily business-to-business (B2B).
  • While Kinetic Valve primarily serves customers in North America, global shipping is available depending on specific arrangements.
  1. Pricing
  • Prices are subject to change at any time without prior notice. However, Kinetic Valve makes every effort to maintain consistent pricing throughout the calendar year.
  1. Payment Terms
  • Accepted payment methods: credit card (CC), wire transfer, electronic funds transfer (EFT), e-transfer, and check.
  • Standard payment terms: Net 30.
  • Late payment fees:
    • Balances over $1,000 CAD: 2% monthly interest.
    • Balances under $1,000 CAD: $20 monthly late fee.
  1. Order Confirmation
  • Upon receipt of a purchase order, Kinetic Valve will issue an order confirmation.
  • The purchase is finalized only when the order confirmation is signed and returned by the customer.
  1. Shipping & Delivery
  • Shipping responsibilities depend on the nature of the purchase and must be agreed upon at the time of purchase confirmation.
  • Incoterms shall be FOB Origin.
  • Delivery dates and lead times are estimates. Additional charges may apply for guaranteed delivery dates.
  • Responsibility for damaged or lost goods lies with the party designated as responsible for shipping.
  1. Warranties
  • Products are sold with limited warranties, as detailed in their respective brochures. Customers are encouraged to review warranty terms specific to each product. Please contact your local sales rep for additional information.
  1. Liability
  • Kinetic Valve disclaims all liability for direct and indirect damages, including but not limited to loss of profits.
  1. Returns & Refunds
  • Returns are accepted only for defective products or accidental purchases under the following conditions:
    • The product must remain in its original, unopened packaging and be untouched or untampered with.
    • A 20% restocking fee will be applied to the value of the returned goods.
  • Refunds are issued as credits for future purchases.
  1. Order Cancellations
  • Orders may be canceled before shipping. A cancellation fee of 10% of the order value will apply.
  1. Dispute Resolution
  • Any disputes arising from these Terms will be governed by the laws of Ontario, Canada.
  • Disputes will be resolved through arbitration or mediation, as deemed appropriate by the Company, prior to legal action.
  1. Force Majeure
  • Kinetic Valve is not liable for delays or damages caused by unforeseen circumstances, including but not limited to natural disasters, acts of God, or other events beyond its control.
  1. Intellectual Property
  • All intellectual property related to Kinetic Valve’s products, including but not limited to designs, trademarks, and documentation, remains the sole property of Kinetic Valve. Unauthorized use, reproduction, or distribution is strictly prohibited.
  1. Amendments
  • These Terms & Conditions may be amended by Kinetic Valve at any time without prior notice. Customers are encouraged to review the latest Terms before placing orders.
